The exact scope of work will be based on the quotation, proposal, invoice, work order or written agreement accepted by the client.
2. Client Responsibilities
The client agrees to:
- Provide accurate project information
- Provide required text, images, logos and other materials
- Provide timely feedback and approvals
- Provide required account access
- Make payments according to agreed terms
- Ensure that supplied content does not violate third-party rights
- Maintain the confidentiality of account credentials
Delays in providing information, content, access or approvals may affect project timelines.
3. Website Development
Website development timelines are estimates unless a specific delivery date is agreed in writing.
Website development may depend on:
- Client content
- Hosting
- Domain configuration
- Plugins
- Themes
- APIs
- Payment gateways
- Third-party services
- Client approvals
Third-party themes, plugins, software and services may be subject to separate licenses and terms.
4. SEO and Digital Marketing
SEO and digital marketing results depend on several factors outside SDigital99’s control.
SDigital99 does not guarantee:
- Specific Google rankings
- Specific website traffic
- Specific number of leads
- Specific sales
- Specific advertising returns
- Specific number of social media followers
- Guaranteed business revenue
Search engine algorithms, advertising platforms, competition, market conditions, budgets and customer behavior may affect results.
5. Advertising Budget
Advertising budgets paid to platforms such as Google, Meta/Facebook or other advertising networks are separate from SDigital99’s professional fees unless expressly stated otherwise.
The client is responsible for the agreed advertising budget.
6. Payments
Fees and payment schedules will be communicated through quotations, proposals, invoices or written agreements.
SDigital99 may suspend or pause services where payments remain overdue.
Domain, hosting, premium plugins, themes, third-party software, advertising budgets and other external charges may be billed separately unless otherwise agreed.
7. Revisions and Changes
The number of revisions included in a project will depend on the agreed scope.
Additional revisions, new features or changes outside the approved scope may attract additional charges.
8. Intellectual Property
Client-owned content supplied by the client remains the client’s property.
Third-party materials remain subject to their respective licenses.
SDigital99 retains ownership of its pre-existing tools, frameworks, methods, templates, code libraries and proprietary materials.
Final project deliverables intended for the client will be transferred or made available subject to payment of applicable fees.
9. Third-Party Services
SDigital99 may use third-party services such as:
- Hosting providers
- Domain registrars
- Google services
- Meta services
- Payment gateways
- Plugins
- Themes
- APIs
- Analytics platforms
- Email platforms
SDigital99 is not responsible for outages, policy changes, account suspensions, algorithm changes or technical failures caused by third-party providers.
10. Website Security and Maintenance
Unless specifically included in a maintenance agreement, SDigital99 does not guarantee continuous website maintenance, backups or protection against:
- Hacking
- Malware
- Server failures
- Plugin conflicts
- Hosting failures
- Security vulnerabilities
- Domain issues
- Third-party software failures
11. Cancellation
A client may request cancellation of services subject to the applicable quotation, agreement or payment terms.
Fees for work already completed may remain payable.
Third-party expenses already incurred on behalf of the client may also remain payable.
12. Client Content and Legal Compliance
The client is responsible for ensuring that all content, images, videos, trademarks, logos and other materials provided to SDigital99 are accurate and legally permitted for use.
The client is responsible for obtaining necessary permissions, licenses and approvals.
13. Limitation of Liability
To the extent permitted by applicable law, SDigital99 shall not be liable for indirect, incidental, consequential or business losses arising from the use of our services.
Where legally applicable, SDigital99’s liability shall be limited to the amount paid for the specific service giving rise to the claim, except where such limitation is prohibited by law.
14. Governing Law
These Terms shall be governed by the laws applicable in India.
Jurisdiction: Raipur, Chhattisgarh, India
Subject to applicable law, courts having jurisdiction in Raipur, Chhattisgarh shall have jurisdiction over disputes arising from these Terms.
15. Changes to These Terms
SDigital99 may update these Terms from time to time.
